Department
Filevine’s Legal team is responsible for all things “legal” at Filevine. As a member of the team, you will have the unique opportunity to help shape the legal process, strategy and function within an enterprise that quite literally sets the standard for legal technology.

Job Summary 
The Associate Counsel will play a critical role in supporting Filevine’s legal needs across dispute resolution, commercial transactions, and data privacy. Reporting directly to the Deputy General Counsel, you will provide hands-on support with legal research, SaaS contract negotiations, and risk management. This position is ideal for a motivated attorney with a litigation background who is eager to expand into corporate and technology law, including SaaS, data privacy, and commercial transactions. You will collaborate directly with business leaders, advising on legal matters that drive Filevine’s growth and success.

Responsibilities

  • Conduct legal research and provide practical, business-oriented advice on dispute resolution, regulatory, and transactional matters.
  • Draft, review, and negotiate a wide variety of SaaS, technology, and commercial contracts, including subscription agreements, business partnerships, and vendor agreements.
  • Assist with data privacy and compliance matters, including advising on data protection. obligations and supporting privacy-related initiatives.
  • Advise internal stakeholders on legal risks and mitigation strategies related to Filevine’s products, services, and business operations.
  • Support dispute resolution strategy and manage outside counsel when needed.
  • Assist with corporate governance and special projects, including M&A and fundraising initiatives.
  • Contribute to improving legal department processes, templates, and workflows to increase efficiency.

Qualifications

  • Juris Doctor (JD) degree from a highly regarded law school
  • Licensed and in good standing to practice in at least one U.S. state, Utah preferred
  • 2–5 years of experience, with a strong foundation in litigation; in-house or law firm experience in SaaS, software, or technology transactions is a plus
  • Demonstrated litigation experience, including legal research, drafting pleadings/motions, and managing discovery or dispute resolution matters
  • Exposure to or direct experience with data privacy laws and compliance (CIPP/US or CIPP/E preferred, but not required)
  • Strong legal research, analytical, and problem-solving skillsAbility to manage multiple projects in a fast-paced environment and work effectively within a small, collaborative team
  • Excellent interpersonal, analytical, and communication skills
  • A sense of humor is always a plus!
