1. ELIGIBILITY: The Filevine LEX Summit 2026 Autographed Guitar Sweepstakes (the "Sweepstakes") is open only to legal professionals who are legal residents of the fifty (50) United States and the District of Columbia who are at least eighteen (18) years of age or older at the time of entry. Employees, officers, and directors of Filevine, Inc. ("Sponsor"), and its affiliates, advertising and promotion agencies, LEX Summit 2026 sponsors, and any other company involved in the design, production, execution, or distribution of the Sweepstakes, and their immediate family members (spouse, parents, siblings, and children) and household members, whether or not related, are not eligible to participate. Each entrant is solely responsible for determining whether receipt of the prize is permitted under applicable law and under the gift, ethics, and procurement policies of the entrant’s employer, firm, agency, or client, and Sponsor may withhold, substitute, or reassign the prize if Sponsor determines in its sole discretion that awarding it would violate any such law or policy. The Sweepstakes is subject to all applicable federal, state, and local laws and regulations and is void where prohibited.
2. SPONSOR: Filevine, Inc., 1260 E. Stringham Avenue, Suite 600, Salt Lake City, Utah 84106 ("Sponsor").
3. SWEEPSTAKES PERIOD: The Sweepstakes begins on September 22, 2026 at 12:00 a.m. Mountain Time ("MT") and ends on October 28, 2026 at 7:00 p.m. PT (the "Sweepstakes Period"). Sponsor’s computer is the official timekeeping device for this Sweepstakes.
4.  HOW TO ENTER: There are two (2) methods of entry. No purchase, payment, or LEX Summit 2026 registration is necessary to enter or win, and entering by one method does not increase your chances of winning relative to the other method. Limit one (1) entry per person and per household for the duration of the Sweepstakes Period, regardless of method of entry. If more than one entry is received from the same person or household, only the first eligible entry received will be entered into the drawing and all others will be void. Entries generated by script, macro, or other automated means are void. All entries become the property of Sponsor and will not be acknowledged or returned. Entries are non-transferable.
   1. Event Registration Entry: Each individual who is a fully registered, paid attendee of LEX Summit 2026 in good standing as of the end of the Sweepstakes Period will automatically receive one (1) entry, including individuals who purchased their LEX Summit 2026 registration before the start of the Sweepstakes Period. No additional payment and no further action is required. Registering for LEX Summit 2026 does not increase your chances of winning relative to a mail-in entry.
   2. Mail-In Entry (Alternative Method of Entry): To enter without registering for or attending LEX Summit 2026, hand-print your full name, complete mailing address, email, phone, date of birth, agreement to these Official Rules, and the words "Filevine LEX
      Summit 2026 Autographed Guitar Sweepstakes" on a 3" x 5" piece
      of paper and mail it in a #10 envelope with proper postage to: Filevine LEX Summit 2026 Autographed Guitar Sweepstakes, 1260 E. Stringham Avenue, Suite 600, Salt Lake City, Utah 84106. Mail-in entries must be postmarked by October 26, 2026 and received by October 28, 2026. A properly completed mail-in entry timely postmarked by the postmark deadline will remain eligible if received by the receipt deadline. Limit one (1) mail-in entry per person and per household. Properly made mail-in entries will have an equal chance of winning as Event Registration Entries. Entries generated by script, macro, or other automated means are void. Mechanically reproduced, illegible, incomplete, postage-due, late, or misdirected entries are void.
5. PRIZE: One (1) prize will be awarded (the "Prize"), consisting of the two elements described below. Odds of winning depend on the total number of eligible entries received. Entering does not entitle any entrant to the Prize and does not guarantee that any entrant will win.
   1. Autographed Guitar: One (1) Fender Standard Telecaster Electric Guitar autographed by the members of Goo Goo Dolls. Approximate Retail Value ("ARV"): $700.00. The guitar will be shipped to the verified winner at Sponsor’s expense, and the winner need not be
      present at the drawing or announcement to win the guitar. Risk of loss and title pass to the winner upon delivery of the guitar to the carrier. The guitar is non-transferable and no cash equivalent or substitution will be provided, except that Sponsor reserves the right to substitute a prize of equal or greater value if the advertised guitar becomes unavailable for any reason. Any difference between the stated ARV and actual value will not be awarded.
   2. Photograph Opportunity (Must Be Present to Claim): The opportunity to be photographed with Goo Goo Dolls at LEXFEST. ARV: $0. This element may be claimed only by a potential winner who is physically present at LEXFEST at the time of the announcement and who presents himself or herself to Sponsor personnel at the designated location within thirty (30)
      minutes after the announcement. If the potential winner is not present or does not timely present himself or herself, this element is forfeited in its entirety, without substitution, replacement, or compensation of any kind. Forfeiture of the photograph opportunity does not affect the award of the guitar.
      
      
      Total ARV of all prizes: $700.00. Only one (1) prize will be awarded, to one (1) individual. The winner is responsible for all applicable federal, state, and local taxes and for all costs and expenses associated with acceptance, receipt, use, insurance, or transfer of the Prize that are not expressly stated in these Official Rules to be included. As a condition of receiving the Prize, the winner may be required to provide a completed IRS Form W-9 or other taxpayer identification information, and a Form 1099 will be issued if required by law.
6. THIRD-PARTY PRIZE ELEMENTS: The autograph and the photograph opportunity each depend on the participation, availability, and consent of Goo Goo Dolls and their representatives. Sponsor does not control and does not guarantee either element. If the autograph or the photograph opportunity becomes unavailable for any reason, Sponsor may, in its sole discretion, award the guitar without the autograph, substitute a prize element of equal or greater
   value, or substitute a prize of equal or greater value, and the winner will have no claim for any difference in value. Goo Goo Dolls is in no way a sponsor, administrator, or co-promoter of this Sweepstakes and has no responsibility or liability in connection with it. By entering, each entrant releases and holds harmless Goo Goo Dolls and their representatives from any and all liability arising from or relating to this Sweepstakes.
7. WINNER SELECTION AND NOTIFICATION: On or about Wednesday, October 28, 2026, one (1) potential winner will be selected in a random drawing from among all eligible entries received during the Sweepstakes Period. The drawing will be conducted by Sponsor or its designated representative at LEXFEST at Petco Park, San Diego, California, whose decisions are final and binding on all matters relating to this Sweepstakes, and the potential winner’s name will be announced from the stage. Odds of winning depend on the number of eligible entries received. If the Prize is not claimed in person at the announcement, the potential winner will be notified by email and telephone using the contact information submitted with the entry or contained in the potential winner’s LEX Summit 2026 registration record. The potential winner will be required to respond within one (1) hour of the initial notification attempt and may be required to sign and return an Affidavit of Eligibility, Liability Release, and, where lawful, Publicity Release within ten (10) business days of notification. If a potential winner cannot be contacted, fails to respond within the required time period, fails to sign and return required documents, is found to be ineligible, declines the Prize, or if prize notification is returned as undeliverable, the potential winner forfeits the Prize and Sponsor will select an alternate potential winner by random drawing from among the remaining eligible entries. Sponsor will continue selecting alternate potential winners as reasonably necessary until the Prize is awarded, unless the Sweepstakes is lawfully cancelled under these Official Rules.
8. GENERAL CONDITIONS: By entering, each entrant agrees to: (a) comply with and be bound by these Official Rules and the decisions of the Sponsor, which are final and binding in all respects; (b) release, discharge, and hold harmless Sponsor, and its respective parents, affiliates, subsidiaries, advertising and promotion agencies, and their respective officers, directors, employees, and agents (collectively, "Released Parties") from any and all injuries, liability, losses, and damages of any kind resulting from participation in the Sweepstakes, the selection or non-selection of a winner, the awarding or non-awarding of the Prize, or the acceptance, possession, use, or misuse of the Prize; and (c) grant to Sponsor the right to use entrant’s name, likeness, photograph, voice, biographical information, city and state of residence, and statements for advertising and promotional purposes without additional compensation (except where prohibited by law). The Prize is awarded "AS IS" and, to the maximum extent permitted by law, WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. Attendance at LEX Summit 2026 and LEXFEST remains subject to the LEX Summit Event Terms and Conditions and Code of Conduct, which govern attendance separately from this Sweepstakes.
9.  LIMITATIONS OF LIABILITY: The Released Parties are not responsible for: (a) lost, late, incomplete, damaged, inaccurate, stolen, delayed, misdirected, or undelivered entries, or for lost, interrupted, or unavailable network, server, Internet service provider, website, or other connections; (b) any injury or damage to an entrant’s or any other person’s computer relating to or resulting from participation in the Sweepstakes; (c) communications line, hardware, and/or software failures; (d) garbled or jumbled transmissions; (e) any error, omission, interruption, defect, or delay in transmission or communication; (f) viruses or technical or human error; or (g) any problems or technical malfunctions of any telephone network or lines, computer online systems, servers, or providers, computer equipment, or software. Sponsor reserves the right, in its sole discretion, to cancel, terminate, modify, or suspend the Sweepstakes if fraud, technical failures, an insufficient number of eligible entries, or any other factor beyond Sponsor’s reasonable control impairs the integrity of the Sweepstakes. Sponsor may disqualify any person Sponsor believes has tampered with the entry process, submitted multiple or automated entries, violated these Official Rules, or acted in a manner that is disruptive or unfair to other entrants.
10. DISPUTES: Except where prohibited by law, all disputes, claims, and causes of action arising out of or connected with this Sweepstakes or the prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by binding arbitration administered in Salt Lake City, Utah in accordance with the rules of the American Arbitration Association. Each party shall bear its own costs and attorneys’ fees. The arbitrator may not consolidate more than one person’s claims and may not otherwise preside over any form of class or representative proceeding. This arbitration agreement and the Sweepstakes shall be governed by the internal laws of the State of Utah without giving effect to any choice of law rule. All issues and questions concerning the construction, validity, interpretation, and enforceability of these Official Rules shall be governed by and construed in accordance with the laws of the State of Utah.
11. PRIVACY: Information collected from entrants is subject to Sponsor’s Privacy Policy, available at https://www.filevine.com/privacy-policy/. By entering the Sweepstakes, entrants consent to the collection and use of their personal information as described in the Privacy Policy and these Official Rules.
12. WINNER LIST: For the name of the winner, available after October 28, 2026, send a self-addressed stamped envelope to: Filevine LEX Summit 2026 Autographed Guitar Sweepstakes Winners List, 1260 E. Stringham Avenue, Suite 600, Salt Lake City, Utah 84106. Requests must be received by  November 28, 2026.
13. SOCIAL MEDIA DISCLAIMER: This Sweepstakes is in no way sponsored,
    endorsed, administered by, or associated with LinkedIn, Meta, Instagram, X
    (formerly Twitter), or any other social media platform. By entering, each
    entrant releases and holds harmless all such platforms from any and all
    liability arising from or relating to this Sweepstakes.
