The following Product Specifications shall apply if and only if the products and/or services below are listed in the applicable Sales Order or any amendment thereto. If a product or service is listed in a Sales Order or amendment, but product-specific terms are not included in this section, applicable product terms, if any, can be found at https://www.filevine.com/legal/legacy-product-specifications/.
1. Filevine
Filevine is a subscription-based AI-powered software-as-a-service (SaaS) platform that provides access to Filevine's core legal operations tools along with metered access to select AI-enabled features, and is billed on a per-user-per-month basis. As it relates to Filevine, "metered" means that usage of these AI features is limited; after reaching the applicable usage threshold (three (3) chats per user per month, unless otherwise provided in an applicable Sales Order or amendment thereto), access will be temporarily restricted until the next usage period begins. Subscribers seeking unlimited AI usage and access to additional AI-powered tools may upgrade to LOIS Assistant, LOIS Advanced, or LOIS Expert, each as described below. Filevine may add to or modify the products and features included in Filevine from time to time, provided that Filevine shall not materially degrade the functionality of those products or features during the relevant Term without Subscriber’s consent.
2. Filevine LOIS Products
Filevine offers AI-enabled legal operations and intelligence system (collectively, "LOIS") services in tiered packages as described below. Subscribers who purchase Filevine's case and matter management platform receive metered access to select LOIS Assistant features as part of their base subscription (as described in Section 1 above). These Subscribers may upgrade to LOIS Assistant, LOIS Advanced, or LOIS Expert to access additional AI functionality and unlimited usage of included LOIS features.
LOIS products are billed on a per-Project basis. Each Project will count toward Subscriber's usage only once. Once a Project has been counted toward usage, it will not count again in subsequent billing years. In each billing year after the first, only net new Projects (i.e., Projects on which AI has not previously been used) will count toward Subscriber's usage. Subscriber remains obligated to pay for its contracted minimum number of Projects in each billing year, regardless of actual usage. A "billing year" means each successive twelve-month period within the Term, calculated from the Initial or Renewal Term Start Date (as applicable), not the calendar year.
Filevine reserves the right to monitor Subscriber's use of LOIS products to identify unusual activity or suspected abuse. If Filevine reasonably determines that the LOIS products appear to be used in violation of the Agreement or subjected to excessive or unusual usage, Filevine may, upon notice: (a) suspend Subscriber's access to the applicable LOIS products until Filevine and Subscriber can resolve the matter underlying the suspension to Filevine’s reasonable satisfaction, and/or (b) charge Subscriber for increased usage at Subscriber's contracted rates. Filevine may establish or modify usage guidelines for LOIS products from time to time.
The following LOIS packages are available:

Filevine Immigration includes all features of the base Filevine subscription, with the addition of immigration-specific workflows and tools designed to support U.S. immigration case management. As it relates to Filevine Immigration, "metered" means that usage of these AI features is limited; after reaching the applicable usage threshold (three (3) chats per user per month, unless otherwise provided in an applicable Sales Order or amendment thereto), access will be temporarily restricted until the next usage period begins. LeadsAI is invoiced as a minimum commitment of Summarizations at the rate shown in Subscriber's Sales Order or any amendment thereto. In the event Subscriber exceeds its minimum commitment per year, overage fees may apply at Subscriber's then-current rate. Any additional scoping work completed, or custom data fields created by Filevine may result in additional fees to Subscriber.
- The Templated Periscope Data Sets are licensed to Subscriber on an individual subscription basis only; however, Subscriber shall have the option to purchase additional individual subscriptions.

This payment processing is a Third-Party Service and is subject to the Stripe Connected Account Agreement including agreements and other documents referred to in such agreement (collectively, the “Payment Processing Agreement”), as modified by the Payment Processor in accordance with the Payment Processing Agreement. By enrolling in and continuing to use Payments by Filevine, Subscriber agrees to be bound by these terms and the applicable terms of the Payment Processing Agreement. Payments by Filevine is subject to certain fees and surcharges as set forth in the applicable Sales Order or any amendment thereto.
As a condition to Filevine enabling Payments by Filevine, and Subscriber enrolling in Payments by Filevine, Subscriber agrees to provide Filevine with accurate and complete information related to Subscriber’s use of Payments by Filevine and authorizes Filevine to share such information and transaction information with the Payment Processor pursuant to Filevine’s Privacy Policy. Transaction information from payors will be collected for processing of transactions by the Payment Processor in accordance with the Payment Processor’s terms applicable to the payments. Filevine reserves the right to revoke access to Payments by Filevine if Subscriber abuses or shows a pattern of fraud, disputes, and/or irresponsible behavior. To the extent permitted by law, Filevine may collect any payment obligations Subscriber owes under this Agreement by deducting the corresponding amounts from funds payable to Subscriber arising from the settlement of card transactions through Payments by Filevine. Fees will be assessed at the time a transaction is processed and will be first deducted from the funds received for such transactions. If the settlement amounts are not sufficient to meet Subscriber’s obligations, Filevine may charge or debit the bank account or credit card registered in Subscriber’s account for any amounts owed (and Subscriber agrees to execute such additional directions in writing to permit Filevine to do so, if required). In the event a payment chargeback or similar dispute occurs, Subscriber may be charged a chargeback/dispute fee per occurrence by Filevine. This section does not permit Filevine to debit a Subscriber trust account for any reason. In addition to the amount due, delinquent accounts may be charged fees that are incidental to the collection of delinquent accounts and chargebacks including, but not limited to, collection fees, convenience fees, legal fees and expenses, costs of any arbitration or court proceeding, collection agency fees, any applicable interest and third-party charges. Subscriber hereby explicitly agrees that all communication in relation to delinquent accounts will be made by electronic mail or by phone, at addresses and numbers provided to Filevine. Subscriber will comply with the terms and conditions of any applicable merchant agreements and all applicable card network rules, policies, laws and regulations, at all times while using Payments by Filevine.
To avoid charging higher rates across all transactions, any additional card network fees that are triggered are simply passed through directly, with no mark-up. This method allows Filevine to offer a more competitive program, reduce Subscriber's overall cost, and improve Subscriber's bottom line. Below are examples of some potential additional fees card brand networks (Visa, Mastercard and American Express) charge. Processing Fee and Card Not Present Fee. The fees listed below do not include all fees that the card brand networks charge or may charge in the future, and these fees do not apply to every transaction. This is simply a list of possible fees that some card brand networks charge. Filevine may, from time to time, elect not to charge you for certain existing, new or increased card network fees. If Filevine elects not to charge Subscriber, Filevine still reserves the right to begin charging Subscriber for those card brand network fees on a prospective, but not retrospective, basis.
- Per transaction Visa may charge the following fees: Acquirer Processing Fee, Visa Base II Transmission Fee, Integrity Fee, International Acquiring Fee (IAF), and International Sale Assessment Fee. This feature is offered subject to all applicable laws and card network rules. Surcharges will only be applied: (i) when an end-client uses a credit card as the payment method; and (ii) where surcharging is legally permitted based on the end-client’s jurisdiction. The amount of the surcharge will reflect the standard card network fee for most credit cards. For American Express cards, only this standard surcharge amount will be passed along to the end-client, and Subscriber remains responsible for any additional AMEX fees. Subscriber is solely responsible for ensuring that its use of the surcharging feature complies with all applicable legal requirements, including any required disclosures to end-clients, and agrees to indemnify and hold Filevine harmless from any claims arising from improper use of the surcharging feature.

Subscriber understands that depositions recorded through Depo CoPilot will be processed using AI technology. This may involve sending the recordings to Filevine and/or its third-party AI providers for analysis. In the event Subscriber exceeds the limit of its contracted tier in a given year, overage fees may apply. Filevine may audit Subscriber’s usage of Depo CoPilot at any time. If Subscriber exceeds its limit, Filevine may, in its sole discretion and in addition to the other remedies prescribed in the Agreement, upgrade Subscriber to a higher Depo CoPilot tier. Overage fees will be billed in accordance with the Agreement. Unused depositions will not roll over to the next year, and no refunds or credits will be issued for unused depositions.
- For purposes of Depo CoPilot deposition quantity and contracted tier, a deposition shall be deemed to occur if the Subscriber starts a recording in Depo CoPilot or uploads an audio/video file with a duration of 10 minutes or more of audio time. Each deposition is constrained to a single day, meaning that if a recording is started on day one and resumed on day two, it will count as two depositions if more than 10 minutes of recording time is captured on each day.
14. Depo Imports
Depo Imports (formerly Depo Library) is a repository for storing deposition recordings, enabling AI-powered transcription and summarization. Except as otherwise provided herein, all terms applicable to Depo CoPilot in Section 13 apply equally to Depo Imports. Depo Imports is billed based on the number of depositions uploaded (defined as recordings of ten (10) minutes or more in duration), with no rollover or refund for unused uploads. In the event Subscriber exceeds the limit of its contracted number of depositions in a given year, Filevine may, in its sole discretion and in addition to the other remedies prescribed in this section, upgrade Subscriber’s number of depositions to a higher Depo Imports tier or to match actual usage. Overage fees will be billed in accordance with the Agreement.

An “Active Client Invitation” is defined as a unique email address and case number combination that has accepted an invitation. Units are counted upon initial acceptance and for every subsequent year in which the client performs an action within the tool. Subscriber acknowledges that there are no refunds or credits for unused annual activations. Furthermore, Filevine reserves the right to charge overage fees for any activations exceeding the committed amount at the rate set forth in the Sales Order, as amendedSubscriber is solely responsible for obtaining all necessary consents, permissions, and authorizations from end users prior to sending SMS Communications, including compliance with the Telephone Consumer Protection Act (TCPA), state SMS and telemarketing laws, and all applicable regulations. Subscriber shall implement and maintain appropriate opt-out mechanisms (including “STOP” functionality) and respond to end user inquiries. Subscriber shall indemnify and hold Filevine harmless from any claims, fines, or liabilities arising from Subscriber’s SMS Communications or failure to obtain proper consent. Filevine provides the SMS Communications feature on an “as-is” basis and disclaims all warranties regarding timeliness, accuracy, or delivery of messages. Filevine is not responsible for delays or failures in transmission caused by telecommunications service providers, network congestion, or other factors beyond Filevine’s reasonable control. These integrations are developed, maintained, and supported by third-party providers and are not owned or controlled by Filevine. Subscriber acknowledges and agrees that: (a) Filevine makes no representations or warranties regarding the functionality, accuracy, reliability, availability, or performance of any Third-Party Integration; (b) any issues, bugs, errors, or support requests related to Third-Party Integrations must be directed to the applicable third-party provider, not Filevine; (c) Third-Party Integrations may require separate agreements, fees, or accounts with the third-party provider and the underlying external system (e.g., QuickBooks, Soluno); (d) Filevine is not responsible for any data loss, corruption, synchronization errors, or security incidents resulting from use of Third-Party Integrations; and (e) Third-Party Integrations may be modified, discontinued, or become incompatible with the Filevine platform at any time without notice to Subscriber. 17. DataBridge
DataBridge is an additional service that provides a data pipeline allowing Subscribers to access their Filevine data in near real time through Snowflake, a third party tool offered by Snowflake, Inc. Use of DataBridge requires the Subscriber to maintain its own active Snowflake, Inc. account in good standing (a “Subscriber Snowflake Account”). Subscriber is solely responsible for provisioning, securing, and administering the Subscriber Snowflake Account, including granting Filevine the necessary account information to share the DataBridge data listing (as described in Snowflake’s documentation). If the Subscriber Snowflake Account is suspended, terminated, or otherwise inaccessible, DataBridge will be unavailable until the Subscriber remedies the issue.
